Terms of Service
Last updated: September 14, 2026
These Terms of Service (“Terms”) govern your use of the website at https://ethicscode.ai and related pages, forms, the Site assistant, and the option to subscribe to newsletters or other emails from Ethics Code LLC (“Ethics Code,” “we,” “our,” or “us”) (collectively, the “Site”).
Please read these Terms carefully. By using the Site, you understand and agree to be legally bound by them and by all laws that apply to your use of the Site.

1. Agreement to these terms
These Terms apply to visitors and anyone who contacts us or signs up for communications through the Site. They do not replace a services agreement, statement of work, or other contract we sign with a client. If you engage Ethics Code for delivery work, that separate agreement controls the services.
These Terms supersede any conflicting terms you send us with a purchase order or similar document, unless we sign those terms in writing. If you violate these Terms, we may stop your use of the Site, bar future access, and take other action allowed by law.
2. The Site and our services
The Site is for general information about Ethics Code: nearshore and offshore engineering teams, delivery models, and related content. Nothing on the Site is a binding offer, a quote, or a guarantee of capacity, pricing, or results. Case studies, metrics, and client references are descriptive and may require client approval before they can be relied on.
Ethics Code serves the U.S. market from Fort Lauderdale, Florida. Our delivery and team hub is Santo Domingo, Dominican Republic.
3. Permitted use
You may visit the Site and keep a copy of pages for your own personal or internal business evaluation. You may not copy, download, publish, modify, scrape, reverse engineer, or distribute Site content for any other purpose without our prior written consent, except as allowed by law (for example, fair use).
You agree not to deep-link to the Site, frame it, or use automated tools in a way that overloads or disrupts the Site, unless we specifically authorize it. You also agree not to submit unlawful, misleading, or confidential third-party information through our forms or chat.
4. Copyright and trademarks
The contents of the Site — including text, graphics, logos, icons, and layout — are owned by Ethics Code or our licensors unless we say otherwise. All rights are reserved. You may not reproduce, disseminate, or transfer that content except with our prior written agreement or as permitted in Section 3.
“Ethics Code,” our circuit-brain mark, and related marks are trademarks of Ethics Code. Other names on the Site may be trademarks of their owners. Reference to a product, process, or company does not mean we endorse it.
5. Site assistant
The assistant on the homepage answers from published Ethics Code content. It is not legal, HR, or contractual advice. Do not send secrets, personal data you would not put in a public form, or information about third parties. We may rate-limit or disable the assistant to protect the Site.
6. Disclaimer
We provide the Site and the information on it “as is.” We work to keep content accurate, but we do not certify that it is complete, current, or fit for a particular purpose. Use of the information is voluntary. You should review it independently, including with qualified advisors, before you rely on it.
We are not responsible for information on third-party sites linked from ours, and we do not control those sites.
7. Limitation of liability
To the fullest extent permitted by law, Ethics Code is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Site, reliance on Site content, or use of linked sites. Our total liability related to the Site is limited to the amount you paid us, if any, to use the Site in the twelve months before the claim (which is typically zero).
Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the maximum extent the law allows. This section does not limit liability that cannot be waived, or liability under a signed client agreement.
8. External links
The Site may link to LinkedIn, Instagram, YouTube, or other independent sites. Those sites have their own terms and privacy practices. Access is at your risk.
9. Privacy
How we collect and use personal data is described in our Privacy Policy. If you subscribe to emails, you also agree to the consent steps shown at signup. You can unsubscribe using the link in those emails or by writing to privacy@ethicscode.ai.
10. Changes
We may change these Terms at any time by posting the updated version on this page. The “Last updated” date will change. Continued use of the Site after a posting means you accept the revised Terms. If we make a material change, we may also note it on the Site.
11. Severability
If a court finds any part of these Terms invalid or unenforceable, the rest remains in effect, and the invalid part is treated as if it had been omitted.
12. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules, except where a mandatory consumer law in your country says otherwise. Courts located in St. Petersburg, Florida, have exclusive jurisdiction over disputes about the Site, unless the law requires otherwise.
