3.1. Our collection and use of your account data are governed by our Privacy Policy.

3.2. Where you utilize our Service to process the personal data of your clients, employees, or other third parties, you act as the “Data Controller” and Ethics Code acts as the “Data Processor” under the General Data Protection Regulation (GDPR) and applicable data protection laws.

3.3. Such processing is exclusively governed by our Data Processing Addendum (DPA), which forms an integral part of these Terms and is incorporated herein by reference.

3.4. You warrant that you have established a valid lawful basis to collect and transfer any third-party personal data to our platforms, and you agree not to upload highly sensitive personal data (e.g., health information, special categories of data under GDPR Art. 9) unless explicitly supported by a separate written agreement with us.

4. Links to Other Websites

4.1. Our Service may contain links to third-party websites or services that are not owned or controlled by Ethics Code.

4.2. Ethics Code has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Ethics Code shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available through those websites.

5. Termination

5.1. We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

5.2. All provisions of these Terms which by their nature should survive termination shall do so, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

6.1. Your use of the Service is at your sole risk. 7.2. Ethics Code shall not be held liable for any regulatory fines or penalties incurred by you due to your failure to comply with GDPR or other applicable data protection regulations regarding your end-users.

5.2. All provisions of these Terms which by their nature should survive termination shall do so, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law

8.1. These Terms shall be governed and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions.

8.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision is held to be invalid or unenforceable by a court, the remaining provisions will remain in full effect.

9. Changes

9.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice via email or a prominent notice on our platform prior to the new terms taking effect.

9.2. By continuing to access or use our Service after revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new terms, please discontinue use of the Service.
